Mandates

Manager, director, chairman: an officer for your Luxembourg company

eCORP holds representation roles in companies: manager, director, chairman or managing director. The mandate is clear, limited and set out in an engagement letter.

The mandates we hold

A Luxembourg company needs officers who take decisions and represent it. We accept the following mandates:

  • Manager of a private limited company (S.à r.l.).
  • Director of a public limited company (S.A.).
  • Chairman of the board, or president of a simplified joint stock company.
  • Managing director or delegate for day-to-day management.
  • General partner of a limited partnership, where the structure fits.

When to use an external officer

  • The current officer has left the company or cannot be reached.
  • The company has no manager or director left and cannot act.
  • You want an officer based in Luxembourg for local management.
  • A structure owned from abroad needs a representative on the ground.
  • You are preparing a compliance catch-up and need an officer to sign the decisions.

How it works

  • A meeting to understand the company, its activity and its shareholders.
  • Identity and compliance checks, as the law requires.
  • An engagement letter that sets the powers, the decisions that need your approval and the fee.
  • Appointment by the shareholders, then registration at the Luxembourg Trade and Companies Register (RCS) by an authorised professional.
  • Regular follow-up: decisions, meetings, filings.

Independence rule

A mandate is never combined with an incompatible role in the same company. An officer does not audit the accounts of the company they run: control is given to someone else.

What the mandate is not

An officer mandate does not include legal advice, tax advice, bookkeeping or domiciliation. We introduce the professionals for those. See the introduction to professionals.

Frequently asked questions

Can we choose the decisions that need our approval?

Yes. The engagement letter lists the decisions the officer does not take without your written approval, such as a sale, a loan or a change of activity.

Is the officer liable for the company?

An officer is liable under the conditions set by law. This is why we accept a mandate only after reviewing the company and its situation.

Can you accept a mandate in a company that is late with its filings?

Often yes, as part of a supervised compliance catch-up. We review the file first before accepting.
