Preparing ordinary and extraordinary general meetings
We prepare your meetings: notice, agenda, resolutions and minutes. For an extraordinary meeting that amends the articles, we coordinate the notary.
The ordinary meeting
The ordinary meeting approves the annual accounts, allocates the result, discharges the officers and renews mandates. It is held every year, in principle within six months of the end of the financial year.
The extraordinary meeting
The extraordinary meeting decides on a change that affects the articles: transfer of registered office, change of name or purpose, increase or reduction of capital, dissolution. Depending on the company's form, it is held before a notary.
What we prepare
- The notice and the agenda.
- The draft resolutions.
- The minutes, or the written decision of the shareholders.
- The attendance sheet and proxies.
- The list of documents to file at the register after the meeting.
Late meetings
If several years have had no meeting, we prepare the missing meetings in order, with the matching accounts, as part of a compliance catch-up.
Limits
We prepare and organise. Drafting documents that amount to legal advice is left to a lawyer, and acts that require a notary are signed before one.

Is a meeting compulsory every year?
Yes, to approve the annual accounts. The usual deadline is six months after the end of the financial year, depending on the company's form and articles.
Can we decide without a meeting?
In some companies and depending on the articles, shareholders can adopt written resolutions. We check what is possible.
Who signs the minutes?
The meeting's bureau or the shareholders, depending on the form. We prepare the document and tell you who must sign.
