Statutory auditor and accounts supervision in Luxembourg
A commissaire aux comptes supervises the accounts of certain companies and reports to the shareholders. eCORP accepts these mandates and introduces an approved statutory auditor where your company needs one.
Who needs one?
Depending on its form and size, a Luxembourg company must appoint a commissaire aux comptes or an approved statutory auditor. Some entities have their own rules, so check what applies to your company before appointing anyone.
Commissaire aux comptes or approved statutory auditor?
- Commissaire aux comptes. A supervision of the accounts, provided for smaller companies. eCORP accepts this mandate.
- Approved statutory auditor (réviseur d'entreprises agréé). A regulated professional, supervised by the CSSF, required for the statutory audit of larger companies. eCORP does not carry out this audit: we introduce an approved firm.
What a commissaire aux comptes does
- Reviews how the books are kept and the annual accounts.
- Reports to the shareholders at the general meeting.
- Flags any irregularity they find.
- Stays in office for the term of the mandate, which can be renewed.
Independence
The commissaire must be independent of the company they supervise. eCORP does not accept a commissaire mandate in a company where it also holds a management role or another incompatible role, or where it keeps the books.
How we work
- We review the company and its accounting before accepting.
- We confirm the scope of the mandate and the timetable in writing.
- We attend the meeting that approves the accounts.
- We introduce an approved auditor if your company falls under the statutory audit.
