Dormant company in Luxembourg: three options
An inactive company still has obligations. Here is what continues and how to get out of it.
A dormant company still has obligations
Even with no activity, a Luxembourg company must keep books, approve and file its accounts, keep an officer and a registered office, and keep the register of beneficial owners up to date.
The three options
- Put it in order. Regularise the accounts and meetings, then keep it on standby with a calendar.
- Sell it. A buyer takes over the company, up to date. A clean file makes the sale easier.
- Wind it up. Close it properly, after bringing the file up to date.
How to choose
Keep the company if you have a short-term plan. Sell it if it has value for someone else. Wind it up if it no longer serves. In every case an up-to-date file is the starting point. See compliance catch-up and voluntary liquidation.
Frequently asked questions
Does a dormant company have to file accounts?
Yes. Having no activity does not remove the duty to prepare and file annual accounts.
How much does it cost to keep a dormant company?
Budget for bookkeeping, registered office, filing the accounts and an officer. The cost depends on providers.
Can a late dormant company be sold?
More easily after it has been regularised. A buyer wants an up-to-date file.
